1. Operator. The POP DRC website and investor portal are operated by POP Global Holdings LLC, a Delaware limited liability company, registered address 850 New Burton Road, Suite 201, Dover, DE 19904, USA (registered office). Operations in the Democratic Republic of Congo are carried out by POP Congo SA (RCCM CD/KIN/RCCM/22-B-01417, Kinshasa).

2. BETA and invitation only. The portal is a BETA service, open only to persons who have received a personal invitation. It is not open to the public. Content and features may change or be withdrawn at any time.

3. Not an offer. Nothing on the website or in the portal constitutes an offer to sell, or a solicitation of an offer to buy, any security, investment contract, unit or other investment product, in any jurisdiction. Nothing here is a prospectus or offering document, and no regulator has reviewed or approved it. The information is not directed at any person in a jurisdiction where its publication or availability would be unlawful.

4. Not advice. Nothing on the website or in the portal is investment, financial, legal, tax or accounting advice, or a recommendation to take or not take any action. You should obtain your own independent professional advice before making any decision.

5. Only signed agreements bind. Any participation is possible only after investor verification, and only under a written framework agreement and purchase annex signed by you and POP Global Holdings LLC, or another POP holding company named in the agreement. Those documents alone set out the terms, and they prevail over anything shown on the website or in the portal. Marking an opportunity as "interested" is not a commitment by you or by us.

6. Estimates are not promises. Any figure that relates to the future, including expected income, timelines or the status of projects, is an estimate based on information available at the time. It may change and is not guaranteed. Past or current results do not indicate future results.

7. Risk. Any investment involves risk, including the risk of losing part or all of the amount invested, delays, currency and transfer restrictions, regulatory change and limited ability to exit. Only commit money you can afford to lose.

8. Accuracy. We take care to keep information accurate, but we do not warrant that it is complete, accurate or up to date, and we may correct it without notice.

9. Restricted persons and places. The Service is not available to persons subject to sanctions, or to persons resident in countries or territories where we do not offer it (none at present, other than countries subject to sanctions).

10. Language. This disclaimer is published in French and in English. The English version prevails in case of any difference.
